Nomi — Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Nomi service (the "Service") operated by Matias Fineschi - ABN 29 158 152 158 trading as Nomi Labs ("Nomi", "we", "us", "our"). By creating an account, authenticating via WhatsApp, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms are governed by the laws of New South Wales, Australia. Nothing in these Terms excludes, restricts or modifies any rights you have under the Australian Consumer Law (ACL) where those rights cannot lawfully be excluded.

1. The Service

Nomi facilitates introductions between people on WhatsApp based on their stated interests and goals. We use matching algorithms and operational tooling to suggest introductions; we are an introduction facilitator only and not a party to any relationship, transaction, or arrangement that arises between introduced users.

We may add, modify or remove features at our discretion. If a change materially reduces functionality of a paid plan, we will give you reasonable notice and offer a pro-rata refund of any prepaid fees for the affected period.

2. Eligibility

You must:

• be at least 18 years old;
• have legal capacity to enter a binding contract in your jurisdiction;
• not be barred from receiving services under any applicable law;
• not have been previously suspended or removed from the Service.

By using the Service, you represent and warrant that you meet these requirements.

3. Your account

3.1 Creating an account

To use Nomi you must register, typically by verifying ownership of a WhatsApp-enabled mobile number. You must provide accurate, current and complete information and keep it up to date.

3.2 Account security

You are responsible for safeguarding your WhatsApp account and any credentials used to access Nomi. Notify us immediately at [email protected] if you suspect unauthorised access. Nomi is not liable for losses arising from your failure to maintain the security of your account, except as required by law.

3.3 One account per person

You may not maintain more than one Nomi account without our prior written consent. Sharing accounts is not permitted.

4. Subscription, fees and billing

4.1 Free and paid tiers

Nomi offers a free tier and one or more paid subscription tiers. The features available on each tier and the current pricing are set out in-app and on our website at the time of purchase. All prices are in Australian Dollars (AUD) and, where applicable, include GST.

4.2 Subscription period and auto-renewal

Paid subscriptions are billed in advance on a monthly or annual cycle, as selected by you. Subscriptions renew automatically at the end of each billing period at the then-current rate for that plan, unless cancelled before the renewal date. We will send you a renewal reminder before each annual renewal.

4.3 Cancellation

You can cancel your subscription at any time from in-app settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.

4.4 Refunds

Outside the rights you have under the ACL, paid fees are non-refundable. We may, at our discretion, issue refunds or credits — for example, where the Service has been materially unavailable. Refunds for purchases made through a third-party app store are subject to that store's policies.

4.5 Failed payments and price changes

If a payment fails, we may suspend access to paid features until payment is made. We may change subscription prices on at least 30 days' notice; changes apply from your next billing period after notice.

4.6 Taxes

Prices may be exclusive or inclusive of GST as displayed at checkout. You are responsible for any other taxes, duties, or charges imposed by your jurisdiction.

5. Acceptable use

When using Nomi you must not:

1. impersonate any person or misrepresent your identity, profession, or affiliations;
2. use the Service for any unlawful, harassing, defamatory, discriminatory, threatening, hateful, fraudulent or sexually explicit purpose;
3. solicit, distribute or promote spam, MLM schemes, pyramid schemes, romance scams, investment schemes, "pig butchering," or unsolicited commercial offers;
4. scrape, crawl, harvest, or use automated means to access, copy or extract any data from the Service;
5. reverse-engineer, decompile or otherwise attempt to derive source code, except to the extent permitted by law;
6. interfere with, disrupt or attempt to gain unauthorised access to any part of the Service or its infrastructure;
7. upload or transmit malware, viruses, or any code intended to damage or interfere with systems;
8. share content that infringes third-party intellectual property, privacy, or other rights;
9. use the Service to contact users for purposes inconsistent with the introduction context (e.g. unsolicited recruitment, fundraising, or sales to users who did not opt in);
10. circumvent any rate limits, anti-abuse measures, or matching constraints;
11. resell, sublicense, or commercially exploit the Service without our prior written consent.

Breaches of this section may result in immediate suspension or termination and, where appropriate, reporting to law enforcement.

6. Content and matching

6.1 Your content

You retain ownership of the information you provide (your bio, interests, goals, messages and other content) ("User Content"). You grant Nomi a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display, and adapt your User Content solely to operate and improve the Service and to perform our obligations to you. This licence ends when you delete your User Content, except for retained copies necessary for the purposes described in our Privacy Policy and Data Retention Policy.

6.2 Your responsibilities for User Content

You are solely responsible for your User Content. You represent and warrant that:

• you own or have all rights necessary to provide it;
• it does not infringe any third party's rights;
• it complies with section 5 (Acceptable use) and applicable law.

6.3 Matching is best-effort

Nomi uses automated and human-in-the-loop systems to suggest introductions. We do not guarantee the quality, suitability, conduct, or identity of any person you are introduced to. You are responsible for exercising your own judgement before meeting, transacting with, or otherwise engaging with another user. Always meet in safe, public settings where appropriate.

7. WhatsApp integration

The Service is delivered in part through the WhatsApp Business API operated by Meta Platforms. Your use of WhatsApp is governed by Meta's own terms and privacy policy, which we do not control. Outages, delivery delays, or restrictions on the WhatsApp platform may affect Nomi's operation. We will use commercially reasonable efforts to maintain uptime but do not warrant uninterrupted availability.

8. Suspension and termination

We may suspend or terminate your access at any time if:

• you breach these Terms or the Acceptable Use rules;
• other users report behaviour that, on reasonable investigation, justifies action;
• we are required to do so by law or by a platform partner (including WhatsApp);
• continued provision would expose Nomi or other users to material risk.

Where lawful and reasonable, we will give you notice and an opportunity to respond before terminating. Section 4.4 (Refunds) applies to any pre-paid period.

You may stop using the Service and delete your account at any time. See the Privacy Policy for what happens to your information after deletion.

9. Intellectual property

All rights, title and interest in and to the Service (excluding User Content), including software, designs, trademarks, branding, and content owned by Nomi, are and remain the property of Nomi and its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes.

You must not remove or obscure any copyright, trademark, or other proprietary notices.

10. Australian Consumer Law

Our goods and services come with guarantees that cannot be excluded under the ACL. For major failures with the Service you are entitled to:

• cancel your service contract with us, and
• a refund for the unused portion, or compensation for its reduced value.

You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the Service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

11. Disclaimers (subject to section 10)

Except as required by law and to the extent permitted by the ACL:

• the Service is provided "as is" and "as available";
• we make no warranty that the Service will be error-free, secure, uninterrupted, or meet your specific requirements;
• we do not endorse, verify, or vouch for any user, and we are not responsible for the conduct of users on or off the platform;
• we are not responsible for the content, accuracy, or behaviour of third-party services (including WhatsApp) integrated with the Service.

12. Limitation of liability

To the maximum extent permitted by law, and subject to section 10:

1. Nomi is not liable for any indirect, incidental, special, consequential, punitive, or exemplary loss, including loss of profits, business opportunity, goodwill, or data;
2. Nomi's total aggregate liability arising out of or in connection with the Service or these Terms is limited, at our election, to either (a) re-supplying the Service or (b) refunding the fees paid by you to Nomi in the 12 months preceding the event giving rise to liability.

Nothing in this section limits liability that cannot be limited under Australian law (including under the ACL).

13. Indemnity

You agree to indemnify and hold Nomi, its officers, employees, contractors and agents harmless against any loss, liability, claim, demand, damage or expense (including reasonable legal fees) arising out of or in connection with:

• your breach of these Terms;
• your User Content;
• your unlawful or wrongful conduct in connection with the Service.

Our right to indemnification is reduced to the extent the loss was caused by our negligence, wilful misconduct, or breach of these Terms.

14. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will give you at least 14 days' notice via WhatsApp, email, or in-app notice before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service before the changes take effect.

16. Notices

We may give you notices via your registered email, WhatsApp number, or in-app message. You should send legal notices to [email protected] and copy our registered office address.

17. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided your rights are not materially diminished.

18. Severability and waiver

If any provision of these Terms is found unenforceable, the remainder will continue in full force. Our failure to enforce any provision is not a waiver of our right to do so later.

19. Entire agreement

These Terms, together with the Privacy Policy and any plan-specific terms presented at checkout, constitute the entire agreement between you and Nomi regarding the Service.

20. Governing law and jurisdiction

These Terms are governed by the laws of New South Wales, Australia. You and Nomi submit to the non-exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia.
